What Documents Do You Receive for Your Company?

There are only three of them.

  1. Corporate Chapter. Certificate of Registration of the Company;
  2. Articles of Incorporation. Extract from the Company Incorporation;
  3. (Profit) Initial List of Officers, Directors, and Resident Agent of (company name). This document includes the so-called “list of officers,” that is, information about the company’s president, treasurer, and secretary, as well as details about the director and local agent of the company.

Let’s look at each of these documents in a bit more detail.

Corporate Chapter. This document is issued on the official letterhead of the state secretary and is certified with the appropriate seal of the state. It states that a certain company, with its name specified, was registered on a certain date, as confirmed by the Certificate of Incorporation. This is also referred to as a “registration certificate,” “certificate of registration,” etc. It is important to note that you can order and print as many copies of the Corporate Chapter and Certificate of Incorporation as you want.

Furthermore, no later than the first day of the month following registration, after receiving these documents, you must hold a so-called shareholders' meeting where it is necessary to elect a board of directors, appoint a President, Secretary, Treasurer, and at least one director of the company. All these individuals will be listed in a special form — (Profit) Initial List of Officers, Directors and Resident Agent of (company name). This form must be sent to the state of Nevada for registration. In the future, only the individuals specified in the Form can represent the interests of the company. In case of a potential sale of the company, a new composition is elected at the same shareholders' meeting and also sent to the state secretary for approval.

If desired, the company’s corporate agent can order a “Corporate Book” (“Corporate Kit”) and the company seal. The Corporate Book includes:

  • A set of company forms;
  • Company bylaws (“By law”);
  • A stock registration book;
  • A necessary stock package;
  • And other documents.

You can order as many copies of the books and seals as you wish.

Articles of Incorporation. Essentially, this is an application for company registration that is submitted to the state secretary.

By the law of this state, it is mandatory to obtain a license for conducting business activities. Usually, this is limited to obtaining a general license for all businesses. However, in certain cases, a special license may also be required.
